One person company

An OPC is formed with only one individual as a member and director, unlike other Private Limited Companies which require a minimum of two members and directors. OPC provides the likes of small traders, artisans and professionals a means to set up a structure with limited liability and minimal compliance requirements. It is a separate legal entity having perpetual succession registered under The Companies Act, 2013.


Commencement of Business Certificate

  • The company starts to function with the opening of a bank account.
  • The paid-up capital is deposited on the opening of the current account
  • After depositing the capital, the company should file with MCA for the commencement of business certificate
  • A business commencement certificate must be obtained within 180 days of company registration to avoid penalties.

OPC Requirements

  • Only one person can be the shareholder director and control the business
  • The promoter should be an Indian Citizen and resident in India to register for OPC.
  • Need to nominate a person during registration as nominee for transfer of business.
  • An individual cannot register more than one OPC.

Nomination Rules

  • The company incorporation requires the nomination of another individual as per MOA.
  • The nominee will take over the company in case of death of original shareholder director.
  • Along with MOA and AOA, a consent document from the nominee during the registration of OPC is required.


Withdrawal of Consent

  • The nominee can withdraw his/her consent any time from the registration.
  • The sole Director needs to register another nominee within 15 days of the withdrawal.
  • Form INC-3 should be produced as the consent of the nominee to intimate the company.
  • The company has to register Form INC-4 to declare the new nominee.

Change of Nominee

  • The promoter of a OPC can change the nominee anytime and for any reason.
  • The new nominee files INC-3 as consent for nomination.
  • The liability of the enterprise is solely of the sole proprietor
  • In case the promoter is deceased, the nominee must appoint a new member as the nominee.

Documents for Registration

  • PAN Card of Director/Shareholder and Nominee
  • Driver’s license or Aadhar card or Voters ID of Director/Shareholder and Nominee
  • NOC from the landlord(Name mentioned in the Electricity Bill or Gas Bill or Water Bill or Property Tax Receipt or Sale Deed) for Registered Office Address

Obtaining digital signature andDirector Identification Number(DIN) for the Director/Shareholder is the foremost step of the incorporation process. Digital Signature for one director is free with our services.

Application is submitted to MCA for OPC name reservation. The name should always end with OPC behind it.

Post name approval, MoA and AoA are submitted to MCA. Also proof of identity, address, and Registered Office Address are to be submitted along with other documents like consent of the nominee should be submitted.

We will take out PAN, TAN, GST and other registrations as required post-incorporation.
